3. Permitted Use and Prohibited Conduct

3.1 The User shall use the Website and its contents solely for legitimate informational purposes relating to the Company’s business.

3.2 Without prejudice to the generality of the foregoing, the User shall not:

• (a) copy, reproduce, distribute, display, publish, or otherwise exploit any portion of the Website or its content without the Company’s prior written consent;
• (b) employ or permit the use of any page-scraping technique, robot, spider, crawler, automated script, or other programmatic mechanism to access, copy, or monitor the Website or any portion thereof;
• (c) attempt to probe, scan, or test the vulnerability of the Website or any related network, or breach the security or authentication measures employed therein;
• (d) introduce any virus, Trojan, worm, or other malicious code; or
• (e) use the Website for any activity that is unlawful, fraudulent, defamatory, or otherwise prohibited by these Terms.

3.3 Any unauthorised access or interference with the Website shall constitute a violation of applicable intellectual-property and information-technology statutes and may render the User liable to civil and criminal penalties.

4. Intellectual Property Rights

4.1 All rights, title, and interest in and to the Website and its constituent materials, including text, layout, design, graphics, images, software, source code, icons, trade names, trademarks, and service marks (including “Requip” and “Buy. Sell. Trust. Requip.”), are and shall remain the exclusive property of the Company.

4.2 No licence or right to use any intellectual-property asset of the Company is conferred by access to or use of the Website.

4.3 Any unauthorised use, reproduction, adaptation, or dissemination of such materials shall constitute infringement and shall attract remedies available under the Copyright Act, 1957, the Trade Marks Act, 1999, the Designs Act, 2000 , and the Information Technology Act, 2000 , together with all successor enactments.

5. User Obligations and Disclaimers

5.1 The User shall ensure that all information or communication submitted through the Website is true, accurate, current, and not misleading.

5.2 The Company shall employ reasonable efforts to maintain the accuracy of the information presented on the Website; however, the Company provides no assurance as to the completeness, correctness, or reliability of such information and expressly disclaims any liability arising from typographical errors, counterfeit goods, fraudulent communications, or unauthorised enquiries. The User acknowledges that all reliance upon Website content shall be entirely at the User's own risk, unless expressly provided otherwise under a written agreement executed with the Company.

5.3 All legal obligations of the Company concerning any Machinery sold by it shall be governed exclusively by the specific written contract executed with the purchaser, notwithstanding any statements, depictions, or representations appearing on the Website.

6. User Accounts (if applicable)

6.1 The Company may, at its discretion, provide functionality enabling Users to create password-protected accounts. Where such functionality is available:

• (a) the User shall maintain the confidentiality of login credentials and restrict access thereto;
• (b) the Company may suspend or terminate any account in the event of misuse, inactivity, or breach of these Terms;
• (c) all information collected in connection with such accounts shall be processed in accordance with the Company’s Privacy Policy.

7. Disclaimer of Warranties

7.1 The Website and all content contained therein are provided on an “as is” and “as available” basis.

7.2 To the maximum extent permitted by law, the Company disclaims all express, implied, statutory, or other warranties, including but not limited to warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

8. Limitation of Liability

8.1 Under no circumstances shall the Company, its directors, officers, employees, or affiliates be liable for any indirect, incidental, consequential, exemplary, or punitive damages (including loss of profit, data, goodwill, or opportunity) arising from or in connection with:

• (a) use of or inability to use the Website;
• (b) reliance on any information contained therein;
• (c) errors or omissions in Website content; or
• (d) unauthorised access to or alteration of transmissions or data.

8.2 The aggregate liability of the Company for all claims, whether in contract, tort, or otherwise, shall not exceed INR 10,000 (Indian Rupees Ten Thousand Only) or such minimum amount as may be mandated by law, whichever is lower.

9. Indemnity

The User shall indemnify and hold harmless Requip Digital Private Limited, its officers, directors, employees, agents, and affiliates from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• (a) the User’s breach of these Terms;
• (b) the User’s misuse of the Website; or
• (c) the User’s violation of any applicable law or third-party rights.

10. Amendment and Termination

10.1 The Company reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time without prior notice. The amended Terms shall be effective upon publication on the Website.

10.2 The Company may suspend or terminate access to the Website, in whole or in part, at any time for maintenance, policy enforcement, or suspected misuse, without liability.

11. Governing Law and Jurisdiction

These Terms and any dispute arising herefrom shall be governed by and construed in accordance with the laws of India. Subject to any mandatory arbitration provisions, the courts having jurisdiction at Mumbai, Maharashtra, shall have exclusive jurisdiction to adjudicate all such disputes.
